Terms of Business

These commercial terms govern wholesale trade transactions conducted with WATER SMITH (Operating under registered sole proprietorship: HIMANI GABA, GSTIN: 07AGXPH6202Q1ZQ). Water Smith is a dedicated B2B enterprise dealing in domestic reverse osmosis water purifiers, precision RO components, and customized assemblies up to 100 LPH. We do not accept retail consumer orders or provide single-unit direct retail sales.

All domestic quotations, price schedules, and proforma invoices are strictly exclusive of applicable Goods and Services Tax (GST) unless explicitly noted in writing. Applicable GST will be itemized at prevailing statutory rates. Proforma invoices reflect fixed validity intervals configured at issuance. Export supplies are treated as zero-rated under statutory Letter of Undertaking (LUT) provisions without payment of Integrated GST (IGST).

Standard domestic and international deliveries are structured on Ex Works (EXW) commercial terms from designated warehouse dispatch points, with Free Carrier (FCA) available upon prior agreement. Freight, insurance, and transit risks pass to the buyer upon handover to the nominated carrier or transporter, in accordance with standard commercial documentation and consignor e-waybills.

Commercial purchase orders require verified advance settlement via bank wire transfer (RTGS / NEFT / IMPS) or agreed milestone disbursements as stipulated on issued Proforma Invoices. International export shipments require verified wire transfer (T/T) or confirmed irrevocable Letter of Credit (LC) through designated banking channels.

Consignments must be inspected upon physical delivery at destination. Any transit damage or packaging discrepancy must be endorsed on the carrier consignment note and reported within 48 hours of receipt. Domestic assemblies carry standard manufacturer warranties against manufacturing defects in electrical booster pumps and SMPS units, subject to operating within rated voltage and water feed parameters. Consumable filter media, cartridges, and membranes are warranted for initial installation performance.

All contracts, sales orders, and disputes arising out of trade transactions with WATER SMITH shall be governed by and construed in accordance with the laws of India, under the exclusive statutory jurisdiction of courts in New Delhi, India.
